    Pat is the chair of the Firm’s Healthcare Law Practice Area and is a member of the Firm’s Corporate and Securities Law Practice Area. Pat's blended practice is devoted primarily to corporate law and healthcare law matters, with an emphasis on mergers and acquisitions, business transactions, business contracts, private equity investments and other investments, financing matters and the formation and structuring of business and healthcare entities. He has counselled corporate and healthcare clients on a wide variety of business, healthcare and regulatory matters.

    Pat has extensive experience in mergers and acquisitions involving corporate and healthcare clients and represents purchasers and sellers of businesses, including in transactions involving asset purchases, stock purchases, mergers, reorganizations, consolidations and various other business transactions. He also advises corporate and healthcare clients in the planning, formation, organization, establishment and restructuring of businesses, including business succession planning and implementation and the preparation of buy-sell agreements, shareholders' agreements and operating agreements for corporations and limited liability companies, with a particular specialty in limited liability company matters. Pat has also represented corporate and healthcare clients in connection with private equity investments and other investments. Pat’s practice has also included representing healthcare professionals in connection with complaints and other matters before various regulatory boards. Pat also has experience representing corporate and healthcare clients in various bond financings, and other secured and unsecured financings. He also has experience with the handling of shareholder/member/partner disputes and frequently provides assistance to the firm's litigators relating to business litigation matters.

    Pat's recent transactional experience includes the representation of numerous corporate and healthcare clients in various asset purchase, stock purchase and merger transactions involving various businesses (including negotiation of financing relating to many of those transactions), including the purchase and sale of a number of continuing care retirement communities, assisted living facilities and skilled nursing facilities, the sale of a number of physician practices and dental practices (including a number of sales to private equity backed buyers), a private equity investment in a multi-state restaurant holding company, four (4) transactions involving the purchase and sale of assets of psychiatric hospitals, the merger of two large health care systems, the merger of an exclusive waterfront nonprofit continuing care retirement community with a large nonprofit entity, and financings of multiple hospital projects with the New Jersey Health Care Facilities Financing Authority and other multi-million dollar financings with the New Jersey Health Care Facilities Financing Authority and the New Jersey Economic Development Authority. Pat has also represented one of the original six (6) New Jersey medical marijuana alternative treatment centers (ATCs) in financing matters and related corporate matters.
