Mergers & Acquisitions

Mergers and acquisitions (M&A) represent a core part of our Corporate and Business Practice Area's transactional practice. The firm's M&A attorneys regularly represent sellers, purchasers, investors, shareholder groups, boards of directors, special committees of boards and financial advisors in structuring, negotiating and consummating domestic business transactions, certain international business transactions and other commercial transactions. We represent private and public mid-market corporations, commercial banks and private equity funds, as well as smaller corporations and individuals whose transactions involve smaller dollar amounts. We recognize the strategic importance to our clients of all transactions, regardless of size.

Our attorneys provide timely, attentive, efficient and cost effective, yet comprehensive, legal services to clients while remaining focused on the client's strategic objectives. We bring to each transaction professionalism, dedication and creativity. We have represented parties in the following types of transactions:

  • Asset purchases and sales, including purchases and sales of divisions
  • Stock purchases and sales
  • Mergers
  • Consolidations, rollups and other business combinations
  • "Going private" transactions
  • Spin-offs
  • Corporate recapitalizations, reorganizations and restructurings

In connection with each of these transactions, our attorneys collaborate with other experienced attorneys throughout the firm in such areas as intellectual property, banking, real estate, environmental and labor and employment law when necessary to address issues arising from the transaction. Our experienced securities law attorneys also provide advice and support on complex public and private company transactions and have strong expertise in preparing the necessary securities filings for clients in connection with M&A transactions and assisting our clients in their dealings with the Securities and Exchange Commission.

Attorneys from multiple disciplines within the firm not only work with each other and with our clients, but also with accountants, financial institutions, investment bankers and other advisors. The use of such teamwork and collaboration is vital to the structuring, negotiation and consummation of successful M&A transactions. Through such teamwork and collaboration and a continued focus on each client's strategic objectives, our firm is able to provide comprehensive service to our clients throughout the transaction process.
